Acceptance of Terms

By accessing or using Complyance.io ('the Service', 'the Platform'), you agree to be bound by these Terms of Service ('Terms'). These Terms constitute a legally binding agreement between you ('User', 'you', 'your') and Complyance.io ('we', 'us', 'our').

If you do not agree to these Terms, you may not access or use the Platform. By creating an account or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Description of Service

Complyance is a self-serve SaaS platform that helps organizations manage AI compliance. Our platform provides the following features:

  • AI risk classification under EU AI Act, Colorado AI Act, and other regulations
  • Compliance gap analysis and requirement tracking
  • Automated generation of compliance reports and technical documentation
  • AI vendor risk assessments and due diligence
  • Evidence vault for storing compliance artifacts
  • Regulatory intelligence and updates on AI compliance developments

Complyance is a compliance management tool, not a law firm or legal advisor. We do not provide legal advice, legal opinions, or legal services.

All risk classifications, compliance reports, gap analyses, and recommendations provided by the Platform are informational only and do not constitute legal advice. Our AI-powered tools are designed to assist with compliance tracking, but they cannot replace professional legal counsel.

For regulatory filings, certifications, legal opinions, or final compliance verification, you must consult with qualified legal professionals. We are not liable for compliance failures, regulatory fines, enforcement actions, or any legal consequences resulting from your use of the Platform.

User Accounts

To use most features of Complyance, you must create an account. When creating and maintaining your account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the confidentiality of your account credentials and password
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

Subscriptions and Billing

Subscription Plans

Complyance offers multiple subscription plans (Free, Starter, Professional, Scale). Plan features, limits, and pricing are described on our Pricing page. By subscribing to a paid plan, you agree to pay the applicable fees.

Payment Processing

All payments are processed by Paddle.com Market Limited ('Paddle'), our Merchant of Record. Paddle is responsible for billing, payment collection, tax calculations, and invoicing. By subscribing, you agree to Paddle's Terms of Use.

Automatic Renewal

Paid subscriptions renew automatically at the end of each billing cycle (monthly or annually) unless cancelled before the renewal date. You will be charged the then-current subscription price. Paddle will send renewal reminders prior to charging your payment method.

Price Changes

We reserve the right to change subscription prices with at least 30 days' notice. Price changes will not affect your current billing cycle. If you do not agree to a price increase, you may cancel your subscription before the new price takes effect.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings or the Paddle billing portal. Cancellations take effect at the end of the current billing period. See our Refund Policy for information about refunds within the first 14 days.

Acceptable Use

You agree not to use the Platform for any unlawful purpose or in any way that violates these Terms. Prohibited activities include, but are not limited to:

  • Violating any applicable laws, regulations, or third-party rights
  • Uploading malicious code, viruses, or harmful content
  • Infringing on intellectual property rights of Complyance or third parties
  • Interfering with or disrupting the Platform or servers
  • Reverse engineering, decompiling, or attempting to extract source code
  • Scraping, crawling, or using automated tools to extract data without permission
  • Reselling, sublicensing, or redistributing the Service without authorization

Intellectual Property

Our Ownership

Complyance.io and its licensors own all rights, title, and interest in the Platform, including all software, design, content, trademarks, and intellectual property. These Terms do not grant you any ownership rights.

Your Content

You retain ownership of all data you submit to the Platform, including AI system descriptions, documents, evidence, and other content ('User Content'). You grant us a limited license to use, store, and process User Content solely to provide the Service.

License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform according to your subscription plan. This license terminates upon cancellation or termination of your account.

Limitation of Liability

THE PLATFORM IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLYANCE.IO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Complyance.io, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

Termination

You may terminate your account at any time by cancelling your subscription through your account settings. Upon cancellation, your access to paid features will continue until the end of your billing period.

We reserve the right to suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or use the Platform in a way that harms us or other users.

Upon termination, your right to use the Platform will cease immediately. We may retain certain data as required by law or for legitimate business purposes (e.g., backups, legal compliance). See our Privacy Policy for details on data retention.

Data Deletion After Termination

If you cancel your subscription, your User Content (AI systems, documents, evidence) will be retained for 30 days to allow for reactivation. After 30 days, all User Content will be permanently deleted from our production systems.

Backup copies may persist for up to 90 days for disaster recovery purposes, after which they are also permanently deleted. If you require immediate data deletion, contact us at support@complyance.io to request expedited removal.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Portugal.

Changes to Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or service features. Material changes will be communicated via email or a notice on the Platform at least 30 days before taking effect. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
